These Terms of Use ("Terms") govern your access to and use of the Minutes.AI mobile app, the Minutes.AI web experience, and the supporting backend at sense-ai.world (collectively, the "Service"), provided by Sense G.K. ("Sense G.K.", "we", "us", or "our").

By creating an account, signing in, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility and account

You must be at least 13 years old (or the age of digital consent in your jurisdiction, whichever is higher) to use the Service. If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

You are responsible for safeguarding your sign-in credentials and for all activity under your account. Notify us immediately at the address in section 17 if you suspect unauthorised access.

2. Subscription, billing, and free trial

Paid subscriptions are sold through the Apple App Store. Apple handles payment, renewal, and refunds under its own terms; we receive only the resulting entitlement state.
Subscriptions renew automatically at the end of each billing period unless cancelled at least 24 hours before renewal, in line with Apple's subscription rules.
Cancel renewal in iOS Settings → Apple ID → Subscriptions, or contact Apple Support. We cannot cancel an Apple-managed subscription on your behalf.
Pricing, the set of features included in each tier, and any free-trial duration may change. We will give reasonable notice inside the app or by email before any change that increases price or removes features you were paying for.
You are responsible for any taxes that apply to your subscription where Apple does not collect them on our behalf.

3. License to use the Service

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal or internal business purposes, subject to these Terms. We retain all other rights.

You may not (and may not allow anyone else to): (a) copy, modify, translate, or create derivative works of the Service except as permitted by law; (b) reverse engineer, decompile, or otherwise attempt to derive source code, except where this prohibition is barred by applicable law; (c) resell, sublicense, or rent access to the Service; (d) remove or alter any proprietary notices.

4. Your content and licence to us

"Your Content" includes meeting audio you record or upload, transcripts, prompts, and any text you submit. You retain ownership of Your Content.

You grant Sense G.K. a worldwide, royalty-free, non-exclusive licence to host, copy, transmit, display, and process Your Content solely to: (a) operate the Service for you (including transcription, AI generation, and dispatch to a connected workspace tool when you tap to send); (b) maintain backups; (c) comply with law. This licence terminates when you delete the relevant content or your account, except for residual copies in routine backups, which are overwritten within 35 days.

You are solely responsible for Your Content. You represent that you have the rights necessary to provide it to the Service and to authorise its use as described in these Terms and our Privacy Policy, including (where applicable) the consent of meeting participants.

5. AI-generated content

The Service uses large-language models and other AI components (currently Google Gemini and OpenAI) to generate summaries, decision logs, drafted messages, drafted tickets, and other artefacts ("AI Output").

AI Output is generated by automated systems and may contain errors, omissions, or inaccuracies. You must review AI Output before relying on it for any decision or before publishing it to a connected tool.
As between you and Sense G.K., to the extent permitted by law, you own AI Output produced from Your Content. You are responsible for the use you make of it.
We do not use Your Content or AI Output to train Sense G.K.'s general models without your separate, explicit consent. Our LLM processors operate under contracts that prohibit them from using your data to train their general models for other customers.
AI Output may resemble outputs produced for other users from similar prompts. We make no claim of exclusivity over the underlying ideas or factual statements expressed in AI Output.

6. Connected workspace tools (OAuth integrations)

You may, at your option, connect third-party workspace tools (currently Slack, Notion, Atlassian Jira, Linear, and Asana) to the Service through OAuth.

When you connect a tool, that provider sends us an OAuth access token scoped to your account. We use that token only to perform the actions you explicitly trigger inside the Service (for example, posting a drafted Slack message). We do not browse, index, or scrape data from the connected tool beyond what is needed to confirm the destination of an action you initiated.
You are responsible for ensuring that connecting a tool to the Service complies with the policies of your employer, your team, and the third-party provider. Some Slack workspaces, Atlassian sites, and Notion workspaces require admin approval before third-party apps may be installed.
You may disconnect any tool at any time from the Settings screen in the app or from the third-party provider's own console. Disconnecting deletes our copy of the OAuth token; the third-party provider may retain artefacts already published to their service (such as Slack messages or Jira issues).
Each third-party provider operates under its own terms of service. We are not responsible for their availability, policies, or actions.

7. Recording compliance and meeting consent

The Service can record audio and produce transcripts of meetings. Laws governing the recording of conversations vary by jurisdiction. Some jurisdictions require all parties to consent; others require only one party. You are solely responsible for determining the rules that apply to your meeting and for obtaining any consent required by law or by your organisation.

You agree not to use the Service to record or transcribe a conversation in violation of applicable law or any expectation of privacy held by another participant. We may suspend or terminate accounts used to record meetings without lawful consent.

8. Acceptable use

You may not use the Service to:

Violate any law or the rights of others.
Process audio or content that you do not have the legal right to provide to a cloud-based service or to share with a third party.
Attempt to gain unauthorised access to the Service or to other users' data, or to interfere with the operation of the Service (denial-of-service, scraping at abusive rates, fingerprinting other users).
Use the Service to develop or train a competing product, or to derive Sense G.K.'s prompts, model weights, or trade secrets.
Send spam, phishing content, or malware through the connected workspace tools.
Generate content that infringes intellectual-property rights or that depicts a real person in a defamatory or sexually explicit manner without consent.

9. Service availability and beta features

We aim to keep the Service available, but we do not commit to a specific service-level agreement. The Service may be unavailable from time to time for maintenance, due to provider outages, or because of factors outside our control.

We may release features as "beta", "preview", or "experimental". Such features are provided as-is, may change or disappear without notice, and are not covered by any warranty.

10. Suspension and termination

You may stop using the Service at any time. To delete your account and the data stored under it, use the in-app account deletion control or contact us at the address in section 17.

We may suspend or terminate your access if (a) you breach these Terms; (b) we are required to do so by law; (c) your continued use poses a security or fraud risk; (d) we discontinue the Service or a feature you rely on.

Sections that by their nature should survive (4 licence-back, 5 AI Output, 11 disclaimers, 12 liability, 13 indemnification, 15 governing law, 16 miscellaneous) survive termination.

11. Disclaimers

The Service and the AI Output are provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express or implied. To the maximum extent permitted by law, we disclaim all implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and quiet enjoyment. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that AI Output will be accurate, complete, or fit for any particular purpose.

12. Limitation of liability

To the maximum extent permitted by applicable law, Sense G.K. and its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, business interruption, or loss of goodwill, arising out of or in connection with the Service, even if we have been advised of the possibility of such damages.

Our total cumulative liability arising out of or in connection with the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve months immediately preceding the event giving rise to the claim, or (b) JPY 10,000.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, the limitations above apply only to the extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Sense G.K. and its representatives from and against any third-party claim, demand, loss, or expense (including reasonable legal fees) arising out of: (a) Your Content; (b) your use of the Service in breach of these Terms or applicable law; (c) your recording of a meeting without lawful consent; (d) your use of a connected workspace tool in breach of that tool's terms.

14. Modifications to the Terms

We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. For material changes (such as new categories of permitted use, changes to liability, or changes to billing), we will give reasonable notice inside the app or by email before the change takes effect. Your continued use of the Service after the effective date of a revision constitutes acceptance of the revised Terms. Last updated: April 28, 2026.

15. Governing law and dispute resolution

These Terms are governed by the laws of Japan, without regard to conflict-of-law principles. The Tokyo District Court will have exclusive jurisdiction as the court of first instance for any dispute arising out of or in connection with these Terms or the Service, except where mandatory consumer-protection law in your place of residence requires otherwise.

16. Miscellaneous

Entire agreement. These Terms, together with the Privacy Policy and any in-app notices, constitute the entire agreement between you and Sense G.K. regarding the Service.
Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
Force majeure. Neither party is liable for delay or failure to perform caused by events beyond reasonable control (acts of God, network failures, governmental actions).
